1. Scope
These General Terms and Conditions (GTC) apply to all contracts, services and offers from OS Fulfillment Solutions (hereinafter referred to as "Provider"). They apply to business customers (B2B) as well as – by individual agreement – to private customers (B2C). Deviating terms and conditions of the customer will not be recognized unless the provider expressly agrees to them in writing.

2. Scope of Services
The provider offers comprehensive fulfillment services, including:

• Warehousing

• Picking and packaging

• Shipping processing (national & international)

• Returns management

• Goods receipt control and inventory management

• Individual additional services (e.g., branding, special packaging)
  Food products, hazardous goods (e.g., gases, flammable substances) and other prohibited goods are not stored or shipped.

3. Contract Conclusion
A contract is formed by acceptance of an offer or by order confirmation from the provider. For new customers, an initial inventory and stocktaking takes place before services begin. A written contract will be provided upon request.

4. Prices and Payment Terms
Billing is done monthly based on the services actually used. Prices are based on the current valid offer or individual agreement. All prices are net plus applicable statutory value added tax.

5. Storage and Shipping
Storage is carried out in compliance with commercial standards. Shipping is handled through service providers such as DHL or Hermes; their shipping and liability conditions apply. Packaging materials are – unless otherwise agreed – provided by the provider and billed separately.

6. Returns Management
Returns are processed according to the agreements. The costs for returns are borne either by the end customer or the client, depending on the business model. Returned items are inspected upon request and either restocked or disposed of.

7. Liability
The provider's liability is based on the conditions of the commissioned shipping service providers. Additional damages or consequential damages are excluded unless gross negligence or intent is present. No liability is accepted for incorrect or incomplete product information provided by the client.

8. Contract Term and Termination
Contracts can either:

• be terminated monthly (with a notice period of 2 weeks to the end of the month), or

• have a fixed term of 12 months. These can be terminated in writing up to 2 weeks before the contract ends. If no timely termination occurs, the contract automatically extends for another month.

9. Data Protection
All personal data of the client and their customers are treated confidentially in accordance with applicable data protection regulations (GDPR) and processed exclusively for contract fulfillment.

10. Final Provisions
The law of the Federal Republic of Germany applies. The place of jurisdiction for all disputes is, to the extent permitted by law, the registered office of the provider. Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions remains unaffected.
